PNG is lossless and supports transparency, which is why designers, printers and app stores often insist on it. Converting a JPG to PNG stops any further quality loss when you edit and re-save the file.

PNG is lossless, so the conversion preserves exactly what is in the JPG. What it cannot do is recover anything — detail already discarded by JPG compression is gone permanently, and wrapping it in a lossless format does not bring it back. Converting a heavily compressed JPG to PNG gives you a much larger file containing exactly the same visible flaws.
Three good reasons. You need transparency, which means starting from PNG and editing. You are going to edit and re-save repeatedly, and want to stop the image degrading a little each time. Or a system specifically demands PNG — some upload forms and print workflows do.
